Terms of Service

Welcome to Chimbaa.com. These Terms of Service ("Terms") govern your use of the Chimbaa website, mobile experience, and related services (collectively, the "Site"), operated by Chimbaa.com LLC ("Chimbaa," "we," "us," or "our").

By accessing or using the Site, placing an order, or creating an account, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility

Chimbaa is available to customers located in the United States only. By using the Site, you confirm that you are at least 18 years old, or the age of majority in your state, and that your shipping address is within the United States. We reserve the right to cancel any order that we determine, in our sole discretion, does not meet these requirements.

2. Products Sold on Chimbaa

Chimbaa offers general merchandise across a wide range of categories. Products on the Site may be sold directly by Chimbaa or by independent third party sellers through our marketplace, as described below.

2.1 Direct Sales

Some products are sold, shipped, and fulfilled directly by Chimbaa. These listings will be identified as sold by Chimbaa.

2.2 Third Party Marketplace

Chimbaa also hosts a marketplace where independent third party sellers ("Sellers") list and sell their own products directly to you. When you purchase from a Seller:

  • The contract of sale is between you and the Seller, not Chimbaa.
  • The Seller is responsible for the accuracy of their product listings, pricing, inventory, shipping, and fulfillment.
  • Chimbaa is not the manufacturer, importer, or owner of Seller inventory and does not inspect Seller products before listing.
  • Returns, refunds, and warranty claims for Seller products are handled according to the applicable Seller's stated policy, or Chimbaa's marketplace policy where a Seller policy is not provided.
  • Chimbaa may facilitate payment processing, customer support, and dispute resolution between buyers and Sellers, but this does not make Chimbaa a party to the underlying sale.

Sellers are independent businesses and are not employees, agents, or joint venturers of Chimbaa. Chimbaa reserves the right to remove any Seller or listing at any time for any reason, including violations of our Seller policies.

3. Accounts

You may need to create an account to place an order. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Orders, Pricing, and Payment

  • All prices are listed in US dollars and are subject to change without notice until an order is placed.
  • We reserve the right to refuse or cancel any order for any reason, including suspected fraud, pricing errors, or inventory unavailability. If your payment method has already been charged, we will issue a refund.
  • You authorize us, or our Sellers where applicable, to charge your chosen payment method for the total order amount, including applicable taxes and shipping.
  • Sales tax is calculated and collected based on your shipping address and applicable law.

5. Shipping

We ship to addresses within the United States only. Shipping times, carriers, and costs vary by product and Seller and are shown at checkout. Risk of loss and title for products pass to you upon delivery to the carrier, unless otherwise required by law.

6. Returns and Refunds

Return eligibility, timeframes, and refund methods depend on whether an item was sold directly by Chimbaa or by a Seller. Specific return windows and conditions are posted on our Returns Policy page and, where applicable, on the individual product listing. Items must generally be returned in original condition unless defective or as otherwise stated in the applicable policy.

7. Communications

We use your email address and phone number solely for transactional purposes, including order confirmations, shipping updates, account notices, and customer support. We do not send marketing newsletters or promotional emails, and we do not send abandoned cart messages. You may still receive service related communications necessary to complete or support your order.

8. User Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms.
  • Attempt to interfere with the security or proper functioning of the Site.
  • Post false, misleading, or fraudulent reviews or content.
  • Scrape, harvest, or collect data from the Site without our written permission.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We may suspend or terminate your account for violation of these Terms.

9. Intellectual Property

All content on the Site, including text, graphics, logos, and software, other than content owned by Sellers or third parties, is owned by or licensed to Chimbaa and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.

10. Product Listings and Reviews

Product descriptions, images, and pricing are provided by Chimbaa or by Sellers and are subject to change. We do not warrant that product descriptions are accurate, complete, reliable, current, or error free. If a product is not as described, your remedy is to return it in accordance with our return policy.

11. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN AN APPLICABLE MANUFACTURER OR SELLER WARRANTY.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHIMBAA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH IT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

This limitation does not apply where prohibited by law, including for liability arising from our own gross negligence, willful misconduct, or claims that cannot be limited under applicable consumer protection law.

13. Indemnification

You agree to indemnify and hold Chimbaa harmless from any claims, damages, or expenses, including reasonable attorney fees, arising from your violation of these Terms or misuse of the Site.

14. Third Party Seller Disputes

If a dispute arises between you and a Seller, you release Chimbaa from claims related to that dispute, except to the extent Chimbaa's own conduct directly caused the harm. Chimbaa may, but is not obligated to, assist in resolving disputes between buyers and Sellers.

15. Dispute Resolution: Arbitration Agreement

Please read this section carefully. It affects your legal rights, including your right to go to court.

15.1 Informal Resolution First

Before filing any arbitration or claim, you agree to first contact us at [email protected] and describe the dispute so we can attempt to resolve it informally. Most disputes get resolved this way. If we can't reach a resolution within 30 days, either party may proceed to arbitration.

15.2 Agreement to Arbitrate

You and Chimbaa agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site, other than disputes described in Section 15.4 below, will be resolved by binding arbitration rather than in court, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator and, unless otherwise required by law, will take place in Indiana or another mutually agreed location, or by phone or videoconference where permitted.

15.3 No Class Actions

You and Chimbaa agree that any arbitration or claim will be conducted only on an individual basis and not as a class, consolidated, or representative action. The arbitrator has no authority to combine your claim with anyone else's or to preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, that claim, and only that claim, may proceed in court, while the rest remains subject to arbitration.

15.4 Exceptions

Either party may instead bring an individual claim in small claims court if it qualifies. Nothing in this section prevents either party from seeking injunctive relief in court to stop unauthorized use or misuse of intellectual property.

15.5 Fees

For claims under $5,000, Chimbaa will pay the AAA filing and arbitrator fees, provided your claim is not found to be frivolous. Each party is otherwise responsible for its own attorney fees unless the arbitrator or applicable law provides otherwise.

15.6 Opt Out

This section does not include a separate opt out right beyond what is required by law. If any part of this section is found unenforceable, the rest of these Terms remain in effect.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. For any dispute not subject to arbitration under Section 15, you consent to the jurisdiction of the state or federal courts located in Indiana.

17. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
